| BY ACCEPTING THIS AGREEMENT, YOU AGREE TO BECOME BOUND BY THE FOLLOWING TERMS AND CONDITIONS. This is a legal agreement between the Client and Maravedis Inc.

LICENSE - Maravedis Inc. grants Client the right to use the licensed research. Client is granted the right to use this research for a specified number of users across Client organization, including wholly-owned subsidiaries. Maravedis data may be made available to Client users via Client Intranet provided the copyright provisions of this agreement are adhered to and that Maravedis is properly credited. This User License Agreement allows Client to distribute and copy Maravedis data in a matter consistent with the "Fair Use" provision constant and US and Canada copyright laws. DISTRIBUTION OF DATA WITHOUT CLEARLY SOURCING MARAVEDIS INC. IS STRICTLY PROHIBITED. |

OWNERSHIP - This research is owned by MARAVEDIS INC and is protected by United States copyright laws and international treaty provisions. Client is acquiring the rights to use the information contained in this research and is not acquiring the right of ownership of the copyright. Resale of MARAVEDIS INC information or making such information available to the world wide web is strictly prohibited. |

OTHER RESTRICTIONS - This research constitutes intellectual property, the benefits of which are acquired upon the receipt of the research. This research cannot be returned or refused once it has been accessed. |

DISCLAIMER OF WARRANTIES - In no event will MARAVEDIS INC or its suppliers be liable to Client for any damages, including any lost profits, lost savings or other incidental damages arising out of the use or inability to use this intellectual property, even if MARAVEDIS INC , its suppliers or any authorized MARAVEDIS INC dealer or distributor has been advised of the possibility of such damages, or for any claim by an other party. Some jurisdictions do not allow for the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you. |
